Tradeboxdirect – Business Terms and Conditions
1. Our Contract
1.1 These Terms and Conditions govern the supply of goods sold by Tradeboxdirect (a trading business of Tradeboxdirect.co.uk, located at Leslie Square, Office 24 Block C, Paper Mill End, Great Barr, Birmingham, B44 8NH, United Kingdom) (“we”, “us”, “our”) to the customer (“you”) and constitute the entire and only agreement between us in relation thereto.
1.2 All orders placed by you are subject to these Terms and Conditions and our acceptance by way of delivery of the goods. Once goods are delivered, a legally binding contract is formed between us. Processing of your payment or email acknowledgment does not constitute legal acceptance of your order.
2. Price & Payment
2.1 The price payable for goods is as displayed on our website www.tradeboxdirect.co.uk at the time of your order, plus any applicable delivery or insurance charges.
2.2 Prices may vary due to market conditions. We will confirm the prevailing price before accepting your order. We reserve the right to refuse or limit orders.
2.3 Prices offered online may differ from any offered via other channels (e.g., telephone orders), and we are not obligated to match differing prices.
2.4 Occasionally, pricing errors may occur on our website. In such cases, we are not obliged to supply goods at the incorrect price.
2.5 Payment must be received in full before we process your order, unless a written credit agreement exists.
2.6 For trade account customers, payment is due in full by the end of the month following the date of invoice. Late or non-payment may result in revoked credit terms and legal recovery of outstanding balances. You are responsible for all orders placed by your authorised employees until we are notified otherwise in writing.
3. Delivery & Title
3.1 We will deliver goods as per your order, typically within the specified delivery timeframe, and always within 30 days. If goods are not received within 30 days, you may cancel before delivery. A valid signature may be required on delivery.
3.2 Large or oversized items are delivered to the exterior of a ground-floor location only, unless otherwise agreed. Installation or unpacking services are not included.
3.3 You must ensure delivery can take place at the arranged time. Failure due to your delay may result in additional re-delivery charges.
3.4 Risk in goods passes to you upon delivery, but ownership remains with us until payment in full is received. Until title passes, you must store the goods separately and clearly marked as our property.
4. Availability
While we aim to maintain sufficient stock, supply is subject to availability. In the event of insufficient stock, we may offer a substitute product or refund your payment in full within 30 days.
5. Cancellation & Returns
5.1 You may cancel your order within 30 days of delivery by notifying us via phone or email.
5.2 If you cancel for reasons other than product fault, you must return the goods at your own cost. Faulty, damaged, or incorrect goods will be collected at our expense using our nominated carrier.
6. Liability
6.1 If goods are damaged, faulty, or incomplete on delivery, please notify us within 30 days. We will repair, replace, or refund the affected goods as appropriate.
6.2 We are not liable for any business-related losses (e.g., loss of profit, data, or interruption). Our liability is limited to the value of goods purchased, except where otherwise required by law.
6.3 Nothing in these Terms affects your statutory rights as a consumer or our liability for fraud, negligence, or death/personal injury caused by our acts or omissions.
6.4 All goods are sold for use within the UK. We cannot guarantee compliance with regulations outside the UK.
7. Limited Companies – Guarantee
7.1 Any individual signing a trade credit application on behalf of a limited company acts as guarantor for that company’s obligations.
7.2 Should the company enter liquidation, receivership, or administration, the guarantor agrees to pay outstanding amounts owed to us.
8. Termination
We reserve the right to suspend or cancel any contract if you breach your obligations, become insolvent, or are unable to pay debts as they fall due. Upon termination, all outstanding amounts become immediately payable.
9. Force Majeure
We accept no liability for failure or delay in fulfilling obligations due to events beyond our control, including (but not limited to) strikes, natural disasters, or supply chain interruptions.
10. General
If any clause in these Terms is found invalid or unenforceable, the remainder will remain valid. This contract shall be governed by and interpreted in accordance with English law, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
11. Privacy Policy
- Third-party vendors, including Google, may display our ads on other websites.
- These vendors use cookies to serve ads based on prior visits to our Site.
